Corporations have limited liability and their names are protected in the province or country where they operate their business. There are more advantages to operating a Corporation, these are just two of the main advantages. Sole-Proprietorships & Partnerships do not have either of these attributes.
This basically means that the owners of the Corporation are protected from personal responsibility for its debts or liabilities.. Some exceptions apply. Canada Revenue Agency (CRA) can pursue owners of a Corporation for any unpaid taxes.
When a Corporation has registered (incorporated) its name in Ontario, no other company may register a business with the same name in that province. The Corporation now has name protection exclusively in Ontario. Should another Corporation or business Incorporate or register a business in Ontario that is similar, confusing or misleading to the public, the Corporation can have a lawyer send a letter to have them Cease & Desist from using the name illegally.
